This Data License Agreement ("License") outlines the permitted uses, restrictions, intellectual property rights, and retention policies for the financial data, reference datasets, and related materials ("Data") accessed via the algoseek API.
Note: Technical usage of the API infrastructure is governed separately by our Terms of Service.
1. Definitions

"Internal Use" means the use of the Data solely by the Licensee's employees and internal systems for research, quantitative analysis, backtesting, and proprietary trading.

"Display Use" means visualizing the Data (e.g., charts, graphs, quotes) within a software application, website, or terminal accessible to the Licensee's end-users.

"Redistribution" means transmitting, syndicating, or API-forwarding the raw, machine-readable Data to a third party.

"Derivative Works" means new data created by substantially processing, combining, or mathematically altering the original Data (e.g., creating a proprietary volatility index or trading signal).
2. License Grants (By Subscription Tier)
Your specific rights depend on the commercial agreement and tier purchased. Unless explicitly stated in your contract, you are granted the Internal Use License by default.
A. Internal Use License

Permitted: You may query, download, and store the Data on your secure internal servers. You may use the Data for proprietary algorithmic trading, quantitative research, machine learning model training, and internal reporting.

Not Permitted: You may not display the Data to external clients, redistribute the raw Data, or use the Data to power a commercial public-facing application.
B. Commercial Display License

Permitted: All rights granted under Internal Use. Additionally, you may display the Data visually to your end-users within your proprietary application or website.

Not Permitted: You may not allow your end-users to download the raw Data in bulk (e.g., CSV exports of entire historical datasets) or access it via your own API.
C. Redistribution License
- Permitted: You may distribute, syndicate, or pass through the machine-readable Data to third-party institutions or developers, subject to strict reporting requirements and algorithmic watermarking as defined in your specific enterprise contract.
3. Data Usage Prohibitions
Regardless of your license tier, the following actions are strictly prohibited to protect algoseek’s intellectual property:

Competing Products: You may not use the Data to create, train, or seed a competing financial data provider, data feed, or data marketplace.

Obfuscation of Source: You may not misrepresent the Data as your own original creation or strip algoseek metadata from the payloads where required.
4. Derivative Works and Intellectual Property

Algoseek IP: Algoseek retains all rights, title, and interest in the raw Data and the underlying database structure.

Your IP: You retain full intellectual property ownership of your unique trading algorithms, software code, and genuinely Derivative Works (e.g., a buy/sell signal generated by your proprietary model).

Restriction: A Derivative Work must not be capable of being reverse-engineered back into the original algoseek Data. Simple arithmetic changes (e.g., changing currency denominations or time zones) do not constitute a Derivative Work and remain subject to this License.
5. Attribution and Branding
If you hold a Commercial Display License, you must provide clear attribution to algoseek.

Visual Display: "Market Data provided by algoseek" must be displayed prominently near the data visualization, hyperlinked to https://www.algoseek.com.

API Wrappers/SDKs: If you build an open-source SDK or wrapper that processes our Data, the codebase must clearly credit algoseek in the README.
6. Data Retention and Purging

Subscription Data: If you are accessing the Data via an active, ongoing API subscription, you must permanently purge and delete all stored, cached, or downloaded Data from your servers, backups, and applications within thirty (30) days of your subscription's termination.

Perpetual Historical Data: If your commercial contract explicitly includes a "Perpetual License" for specific historical datasets (e.g., purchased a static file of 2020-2025 tick data), you may retain that specific data indefinitely for Internal Use, even after API access terminates.
7. Exchange Rules and Pass-Through Liability
Algoseek sources data from global financial exchanges (e.g., OPRA, NASDAQ, NYSE, CME).

Compliance: You acknowledge that you are legally bound by the reporting, display, and fee rules of the originating exchanges based on how you use the Data.

Liability: If your use of the Data triggers an exchange audit, subscriber fee, or penalty, you are solely responsible for those costs. Algoseek reserves the right to terminate your data access immediately upon receiving notice of a violation from any exchange.
8. Auditing Rights
To ensure compliance with this License and third-party exchange rules, algoseek reserves the right, upon thirty (30) days written notice, to request certification of compliance or to conduct an audit of the systems and applications where the Data is stored or displayed.
